1. ACCEPTANCE OF TERMS

groups.im welcomes you. groups.im provides its service to you subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. You can review the most current version of the TOS at any time at: http://groups.im/termsofservice.html

This Terms of Service sets forth the legally binding terms for your use of the groups.im Services. Please read this TOS and save it. If you do not agree to be bound by this TOS and to follow all applicable laws, you should leave the groups.im Website and discontinue use of the groups.im Services immediately. If you wish to become a Member, communicate with other Members and/or make use of the groups.im Services, you must read this TOS and indicate your acceptance during the registration process.

groups.im reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to deny, restrict, suspend, or terminate your access to all or any part of the groups.im Services at any time, for any or no reason, with or without prior notice or explanation, and without liability. groups.im expressly reserves the right to remove your profile and/or deny, restrict, suspend, or terminate your access to all or any part of the groups.im Services if groups.im determines, in its sole discretion that you have violated this TOS or pose a threat to groups.im and/or its Users.

2. YOUR REGISTRATION OBLIGATIONS

In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or groups.im has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, groups.im has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). groups.im is concerned about the safety and privacy of all its users, particularly children. For this reason, parents of children under the age of 13 who wish to allow their children access to the Service must create a groups.im Family Account. When you create a groups.im Family Account and add your child to the account, you certify that you are at least 18 years old and that you are the legal guardian of the child/children listed on the groups.im Family Account. By adding a child to your groups.im Family Account, you also give your child permission to access many areas of the Service, including, email, message boards and instant messaging (among others). Please remember that the Service is designed to appeal to a broad audience. Accordingly, as the legal guardian, it is your responsibility to determine whether any of the Service areas and/or Content (as defined in Section 6 below) are appropriate for your child.

3. PRIVACY POLICY

Registration Data and certain other information about you is subject to our Privacy Policy. For more information, see our full privacy policy at http://groups.im/into-privacypolicy.html, This policy explains how groups.im treats your personal information, and protects your privacy, when you use the Services.

You agree to the use of your data in accordance with groups.im privacy policies.

4. MEMBER ACCOUNT, PASSWORD AND SECURITY

You must be a human. Accounts registered by "bots" or other automated methods are not permitted.

You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.Your login may only be used by one person - a single login shared by multiple people is not permitted. You may create separate logins for as many people as you like.

You are responsible for maintaining the security of your account and password. groups.im cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).

Anyone is not allowed to transmit spam with virus or other harmful objects. Otherwise, groups.im will add your account to blacklist.

One person or legal entity may not maintain more than one free account.

5. MEMBER CONDUCT

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not groups.im, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. groups.im does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will groups.im be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

1) Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.

2) As groups.im service is on the basis of instant messenger, we can not and will not help you solve the problem coursed by instant messenger.

3) You understand that groups.im uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

4) You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by groups.im.

5) We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any partys intellectual property or these Terms of Service.

6) Verbal, physical, written or other abuse (including threats of abuse or retribution) of any groups.im customer, employee, member, or officer will result in immediate account termination.

7) You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

8) You must not upload, post, host, or transmit unsolicited email, SMSs, or "spam" messages.

9) You must not transmit any worms or viruses or any code of a destructive nature.

10) groups.im does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

11) The failure of groups.im to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and groups.im and govern your use of the Service, superseding any prior agreements between you and groups.im (including, but not limited to, any prior versions of the Terms of Service).

13) You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

6. Copyright and Content Ownership

1) We claim no intellectual property rights over the material you provide to the Service. Your records of chat and content posted in the groups.im remain yours. However, by setting your pages to be shared publicly, you agree to allow others to view and share your content.

2) groups.im does not pre-screen content, but groups.im have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service.

3) The look and feel of the Service is feedback@ groups.im. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without express written permission from groups.im.

7. NO RESALE OF SERVICE

You agree not to reproduce, duplicate, copy, sell trade, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

8. MODIFICATIONS TO SERVICE

groups.im reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that groups.im shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

9. TERMINATION

You agree that groups.im may, under certain circumstances and without prior notice, immediately terminate your groups.im account, any associated email address, and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services. Termination of your groups.im account includes (a) removal of access to all offerings within the Service (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of the Service. Further, you agree that all terminations for cause shall be made in groups.im sole discretion and that groups.im shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Service.

10. DEALINGS WITH ADVERTISERS

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that groups.im shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
